Terms of Service

1 The Service

FounderUnit is a multi-tenant SaaS platform providing workspace tools for startup founders, including document management, team communication, meeting software, investor relations, treasury, OKRs, and related modules. We operate at founderunit.com and tenant subdomains.

2 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use FounderUnit. By accepting these Terms you represent and warrant this is true. Accounts registered on behalf of a company bind that company.

3 Accounts & Workspaces

• Each workspace ("tenant") is a separate isolated environment with its own subdomain and database
• The person who registers the workspace is the workspace owner and has full administrative control
• You are responsible for maintaining the security of your credentials and for all activity under your account
• If a founder who owns the workspace leaves the company, ownership must be transferred before account deletion. We are not liable for disputes over workspace ownership — this is a matter between the parties involved

4 Subscriptions & Payment

• Paid plans are billed monthly or annually in advance
• All prices are in the currency shown at checkout
• We reserve the right to change pricing with at least 30 days' notice — your rate is locked until your current billing period ends
• Failure to pay may result in suspension and ultimately termination of your workspace

5 Free Trial

Each plan includes a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the service. Data is retained for 30 days after trial expiry before permanent deletion.

6 Cancellation & Refunds

You may cancel your subscription at any time from your workspace settings. Cancellation is effective at the end of the current billing period — you retain full access until then. We do not issue refunds. See our Refund Policy.

7 Data Ownership & Export

• You own all content and data you upload or create in your workspace
• We claim no intellectual property rights over your content
• You may export your data at any time using the export tools in your workspace settings, or by contacting support@founderunit.com
• Upon account termination, data is retained for 30 days to allow export before permanent deletion

8 Acceptable Use

You agree to use FounderUnit in compliance with our Acceptable Use Policy. Violations may result in immediate suspension or termination without notice or refund.

9 Intellectual Property

FounderUnit, its logo, and the platform software are the intellectual property of AspGenX Inc. These Terms do not grant you any licence to use our trademarks, branding, or software other than as necessary to use the service. All rights not expressly granted are reserved.

11 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASPGENX INC.'s TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

13 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14 Changes to These Terms

We will provide at least 14 days' notice of material changes by email and/or prominent platform notice. Continued use after the effective date constitutes acceptance.
